Giacom Growth Fund Terms and Conditions

1.1 Giacom operates a number of schemes through which its partners may qualify for financial
support for certain marketing and development activities (“Growth Funding”). The
qualifying criteria and qualifying expenditure vary according to the applicable funding
scheme.

1.2 The Microsoft Growth Fund and Microsoft Development Fund are two such schemes in
which Giacom is participating and details regarding eligibility and claiming can be found
here Growth Fund Submission (cloudmarket.com) (and on request for the Development Fund).

1.3 Notwithstanding any on-line terms and conditions, Giacom has agreed to provide the
partner with Growth Funding as follows:

1.3.1 Giacom will provide up to £5,000 (in aggregate) of 50% contributory funding on a
reimbursement basis in respect of qualifying expenditure legitimately incurred by the
Partner (as verified by Giacom according to the applicable funding scheme);

1.3.2 Growth Funding is subject to pre-conditions which will be confirmed by Giacom (and
which include submission of an expenditure plan or proposal);

1.3.3 To claim the funding, Partner will need to submit proof of expenditure as instructed by
Giacom. Partner is advised to obtain Giacom’s indication as to whether any expenditure
will be deemed qualifying expenditure for the purposes of the applicable scheme
before costs are incurred;

1.3.4 A deadline to apply for reimbursement will apply (as notified individually);

1.3.5 Partner acknowledges and agrees that conditions (including third party terms) apply to
the Growth Funding. Such conditions have either been provided or are available on
request. Accordingly:

i. Giacom reserves the absolute right to approve or reject applications for Growth
Funding (or tranches of it); and
ii. Partner shall retain (and shall permit Giacom to inspect) full, complete and
accurate records in respect of the expenditure;
iii. Giacom shall be entitled to request repayment of (and the Partner shall
promptly repay in full and in cleared funds) all Growth Funding provided in the
event of (i) third party claw-back; (ii) non-compliance with scheme rules; (iii)
Partner breach of any agreement with any member of the Giacom Group.
